SaaS Subscription Agreement

Version 1.0 Effective Date 1/July/2025

This SaaS Subscription Agreement forms a part of the Master Services Agreement ( Agreement ) between:

MOBIUS SOLUTIONS PRIVATE LIMITED, acting as the Provider , and the Client .

1. License Grant

Provider grants Client a non-exclusive, non-transferable, revocable right to access and use the cloud-based HR and Payroll platform ( Services ) solely for Client s internal business operations, subject to the terms of this Agreement.

2. Scope of Services

The Services include access to Provider s cloud-based software modules for human resource management, payroll processing, employee self-service, and related support functionality as outlined in the referenced Proposal Document.

3. Client Obligations

Client shall:
(a) ensure its users comply with this Agreement;
(b) not use the Services in violation of any applicable law;
(c) maintain the confidentiality of user credentials; and

4. Access to Cloud Services

Provider shall make the Services available via the internet on a hosted basis. Client acknowledges that access may require compatible devices, internet connectivity, and may be subject to routine maintenance or updates. Provider shall use commercially reasonable efforts to ensure the availability of the Services, subject to scheduled downtime and force majeure events.
